Institution terms.
The separate agreement covering sessions run with colleges and organisations. The other party here is the institution rather than a participant, and the obligations run both ways: we owe you a session and a report, and you owe your students a genuine opt-out.

These terms govern all institutional sessions and engagements conducted by Nayaha India Techno Private Limited for educational and organizational partners.
1. Who this is between
These Institution Terms are between Nayaha India Techno Private Limited, operator of DemoCrez, registered at 3, Clerk Colony, Opp. Readymade Complex, Nanda Nagar, Indore, Madhya Pradesh – 452011, India, and the contracting institution.
Participants in a session are separately covered by the consumer terms of service and the privacy policy. Nothing an institution agrees to here can vary a participant's rights under those.
2. What we provide
- One bounded session of 45 to 60 minutes for one batch, run in a browser
- A facilitator, in person or remote, for the duration of that session
- Wording you can use to explain participation and the opt-out beforehand
- A Student Behaviour Insight Report describing the batch as a group, delivered after the session

3. What the institution provides
- One batch, together, in a single uninterrupted slot
- A room where everybody can see one shared screen, and a browser per participant
- A genuine opt-out. Participation must be explained beforehand and declining must carry no consequence for a student, in practice as well as on paper
- Accurate information about batch size and composition, so that a report can be produced without risking identification
4. Consent is the institution's obligation
We supply the wording; you are responsible for the conditions in which it is read. This is not a formality being passed to you.
A batch that felt required to participate produces compliant answers, and compliant answers are indistinguishable from honest ones in an aggregate. If declining would in practice cost a student something at your institution, the session will collect the wrong thing and we would rather not run it.
5. What the report may be used for
- You may circulate it internally, present it to a board or committee, and quote it externally with attribution to Democrez.
- You may not use it, or anything derived from it, in any decision concerning a named individual — including placement, admission, counselling, discipline or evaluation.
- You may not present a batch figure as a national or regional figure. It describes your batch and nothing wider.
- You may not ask participants to identify their own answers to you afterwards in order to reconstruct individual data.
The second restriction is not a licensing preference. The report contains no individual layer, so a decision about a person made from it would be a decision made from something that is not there.
6. What we cannot supply, at any price
- How any individual participant answered — no record links a person to an answer
- A list of who took part or who declined
- A breakdown of any subgroup too small to prevent inference
- A ranking of participants, or of your institution against another
- Any figure that has not crossed its response threshold and passed review
7. Where session data goes
Situations written specifically for an institution feed that institution's report only. They do not enter the public record, and a card cannot be moved between the two pipelines.
Responses to standard cards answered during a session may contribute anonymously to public aggregates. No institution is named in any published reading, and no reading identifies a batch. The Reality Bank
8. Data protection roles
For data the institution collects and instructs DemoCrez to process solely to run a programme/session, the institution determines the purpose and Nayaha/DemoCrez acts as its service provider/data processor as applicable. For DemoCrez’s own account, security, legal-compliance and direct-user data, Nayaha acts as the Data Fiduciary.
What is settled in substance: the institution never receives a phone number, a name, or any per-participant output, and we never receive a student roll, register or contact list from the institution.
9. Fees and cancellation
Institution fees: as stated in the accepted written quote. Booking: 50% advance; balance due 7 days before the scheduled session. Cancellation ≥7 days: refund of advance less non-recoverable gateway/third-party costs. Cancellation 3–6 days: 50% of total fee payable. Cancellation <72 hours: non-refundable. One reschedule is allowed without rescheduling fee if requested at least 72 hours in advance, subject to availability.

10. When we decline or stop a session
We may decline a booking, or end a session in progress, where:
- the stated purpose is assessment, screening or evaluation of named students
- the batch is too small for a report to be produced without risking identification
- declining to participate would in practice carry a cost for a student
- the slot cannot be protected, or the session is interrupted such that the answers would not be usable

11. Liability
To the extent permitted by law, total liability for an institution engagement is capped at the fees actually paid for that engagement. Neither party is liable for indirect or consequential losses. This does not exclude liability that cannot legally be limited.
What can be stated now: nothing in a report is advice, and no decision about a person should be made on the basis of any output.
12. Governing law
Laws of India; subject to mandatory statutory rights, courts at Indore, Madhya Pradesh shall have jurisdiction.
